About the Role:
The Transaction Structuring Lead will provide specialist commercial, financial and risk structuring expertise across Great British Energy's investment activity, helping shape transactions so they are investable, value for money, aligned with GBE's strategic objectives and capable of securing the right balance of risk and return for the public.
The role will work closely with GBE's sector teams, portfolio office, finance, legal, risk and external advisers to develop robust transaction structures from early-stage opportunity assessment through to execution.
The postholder will help ensure the quality and consistency of investment propositions coming through GBE's pipeline and Investment Committee process, bringing deep expertise on investment structuring, energy market dynamics, funding mechanics and downside mitigation.
The role will suit an individual with strong commercial and financial acumen, experience of complex transactions and the ability to operate credibly across both public-sector and private-sector stakeholders.
Key Responsibilities:
* Lead or support the design of transaction structures for investments, partnerships, joint ventures, special purpose vehicles and other commercial arrangements across GBE's areas of activity.
* Advise deal leads and wider GBE reviewers on the allocation of risk, return, control, governance rights, funding obligations, security, downside protections and incentive mechanisms within proposed transactions.
* Work closely with deal teams to shape transaction terms and commercial strategies from an early stage, ensuring propositions are capable of meeting GBE's strategic, commercial, accounting and governance requirements.
* Provide structuring input into deal Investment Committee papers and approval submissions, ensuring clarity, consistency with GBE's investment strategy, and overall quality.
* Support negotiation planning by identifying key structuring issues, trade-offs, red lines and options for managing commercial complexity.
* Collaborate with GBE's legal, finance, and risk teams alongside external advisers to ensure proposed structures are commercial, executable and appropriately documented.
* Help develop standard approaches, playbooks, templates and internal guidance for recurring transaction types, while retaining flexibility for bespoke opportunities.
* Assess the implications of different structures on portfolio risk, performance, governance, value for money and deliverability, and communicate these clearly to decision-makers.
* Support responses to distressed, politically sensitive or time-critical opportunities where rapid but disciplined structuring analysis is required.
* Contribute to the development of GBE's broader transaction capability, including lessons learned, market insight and continuous improvement in structuring disciplines.
* Work with the Investment Portfolio Management Team to ensure transaction terms for supply chain investments and energy project investments contain appropriate information rights, governance rights, monitoring requirements and intervention routes.
Qualifications and Experience:
Essential:
* Significant experience in transaction structuring, project finance, corporate finance, infrastructure investing, fund investments, and/or a related specialism.
* Experience working on complex transactions from development through negotiation and execution, with the ability to identify key issues and practical solutions.
* Strong understanding of how commercial, financial and governance terms interact within complex transactions and investment structures.
* Excellent commercial judgement and the ability to balance strategic objectives, risk appetite, value for money and execution considerations.
* Confident in delivering the modelling, term sheet drafting, and IC paper articulation required to deliver equity investment.
* Ability to work effectively across multidisciplinary teams including investment, legal, finance, risk and external advisers.
* Strong written and verbal communication skills, including experience preparing clear recommendations or submissions for senior stakeholders and governance forums.
* Ability to operate at pace while maintaining rigour, accuracy and sound judgement in sensitive or high-profile situations.
* High levels of integrity, professionalism and discretion when handling commercially sensitive matters.
Desirable:
* Experience in energy markets, low-carbon infrastructure, public investment or statebacked institutions.
* Familiarity in current commercial practice in shareholder agreements, joint venture structures, concession-style arrangements or development partnerships in these sectors.
* Experience acting as a deal or transaction lead responsible for delivering investments from origination to execution.
* Experience of public-sector business case processes, approvals or governance environments.
* Understanding of how transaction structures affect portfolio management, postinvestment monitoring and board/governance rights.
